Terms and Conditions
The following are the various practices that are
expected of all volunteer members and partners alike, for the purpose of
ensuring that everyone works for the growth of his or her business and also for
the betterment of all our various stakeholders.
It includes ethical guidelines,
contractual obligations, and the policies that relate to becoming a Member. Please refer
to them every time for your own good. Because federal, state, provincial, foreign and local laws change, the
company reserves the right to amend or revise these Policies and Procedures and
its prices at its sole and absolute discretion.
Any earnings or income statements, or earnings or
income examples, are only estimates of what we think you could earn. There is
no assurance you’ll do as well or you will replicate the examples. Do not
depend on the figures displayed; you must accept the risk of not doing so well.
Where specific income
figures are used and attributed to an individual or business, those persons or
businesses have earned that amount. There is no assurance you'll do as well.
Any and all claims or representations, as to income earnings on this, are not
to be considered as average earnings. There can be no assurance that any prior
successes, or past results, as to income earnings, can be used as an indication
of your future success or results. Monetary and income results are based on
many factors. We have no way of knowing how well you will do, as we do not know
you, your background, your work ethics, or your business skills or practices.
Therefore we do not guarantee or imply that you will get rich, that you will do
as well, or make any money at all.
We advice that you use
caution and seek the advice of qualified professionals: check with your
accountant, lawyer or professional advisor, before acting on this or any
information.
I-SMILE FOUNDATION uses the term MEMBERS, VOLUNTEER MEMBERS,
PARTNERS interchangeably to refer to any person who has decided after having
gone through the terms and conditions and have paid the mandatory MEMBERSHIP FEES
to join this Non-Governmental Organization.
When you sign up as a MEMBER with I-SMILE FOUNDATION
you agree to follow and be bound by this Code of Ethics and Policies and
Procedures, which are amended from time to time
Violations of I-SMILE FOUNDATION Code of Ethics and
Policies and Procedures may be cause for cancellation of participation. Please
read through these Code of Ethics and Policies and Procedures carefully to
fully benefit and understand your rights and responsibilities as a MEMBER of I-SMILE
FOUNDATION.
MEMBERSHIP
As you sign up with I-SMILE FOUNDATION you accept to
pay a onetime NON-REFUNDABLE amount of $50 USD. This is all you need to
kick-start your involvement in rendering assistance to the needy as well as your
ORGANISATION as a volunteer member with I-SMILE FOUNDATION.
NO MEMBER IS PERMITED TO COLLECT MORE THAN THE
MEMBERSHIP SIGN UP FEE FROM ANY INTENDING MEMBER IN FORM
OF ANY SERVICE CHARGE. IF REPORTED AND
DISCOVERED TO BE SO, SUCH MEMBERS ACCOUNT WILL BE DELETED IMMEDIATELY.
NO
REFUNDS
It is agreed that payment of MEMBERSHIP sign up of $50
USD is ONCE and that there is NO REFUND after payment. The MEMBERSHIP sign up
is NON-REFUNDABLE.
MEMBERSHIP
CODE OF ETHICS

All members MUST
be honest and be true in presenting the activities of the NGO and in their
dealings with every MEMBER AND
INTENDING MEMBER.

All members MUST
NOT make any negative or disparaging remarks about I-SMILE FOUNDATION fellow
members, projects, and benefits.

All members MUST
NOT produce marketing or training aids of any kind for sale to other members
without the prior written permission from the ORGANSATION.
·
ALL members MUST promote their activities in an ethical and legal manner
and MUST NOT engage in activities that will cause loss to I-SMILE FOUNDATION or
ANY other MEMBER.
·
All members MUST
NOT use the organization's name, information literature, gatherings of people or
other organizations Resources to promote other business interests (i.e.
advertise other company’s activities).

All members MUST
abide by all Policies and Procedures that pertain to the operation of the
organization.
POLICIES
AND PROCEDURES
I-SMILE FOUNDATION reserves the right to accept or
reject any member's Application and Registration form without having to assign
any reason for its acceptance or rejection.
All MEMBERS are independent promoters and are neither
agents nor employees of I-SMILE FOUNDATION.
A member must have only one SPONSOR.
Husbands and wives, may have different ACCOUNTS,
however, each one must qualify for the rewards in the Compensation Plan.
However each member is culpable for the activities of
each other in relation to activities that are inimical to the success of the
ORGANZATION.
MEMBERS
ACCOUNT INFORMATION
All partners MUST update any CHANGE of registration
details of their account from their BACK OFFICE such as email address, postal
address, and mobile phone number so that each member is kept up to date with
all information.
These updates are also posted in the News/Events
section of the I-SMILE FOUNDATION website and dashboard of each Partner's
website.
SECURITY
You agree that if you are issued a Username and
Password by the ORGANISATION, you shall use your best efforts to prevent access
to this site through your Username and Password by anyone other than yourself,
including but not limited to, keeping such information strictly confidential,
notifying the ORGANISATION immediately if you discover loss or access to such
information by another party not under your control and supervision, and by
using a Username and Password not easily guessed by a third party.
You agree that you shall not try to reverse engineer,
reverse assemble, reverse compile, decompile, disassemble, translate or
otherwise alter any executable code, contents or materials on or received via
this site. You understand that such actions are likely to subject you to
serious civil and criminal legal penalties and that the ORGANISATION shall
pursue such penalties to the full extent of the law to protect its rights and
the rights of its other licensors.
BUILDING
A PERSONAL MARKETING TEAM
Members are advised to build a personal marketing team
by introducing the Compensation Plan to interested people who are willing to
undergo business training.
This will definitely cause the partners activities to
improve significantly. It is the responsibility of such MEMBER to assist in the
training, and monitor the activity of members of his marketing team.
A sponsoring MEMBER is obliged to fairly and fully
explain the marketing plan to all prospective MEMBERS, making sure to stress
that the degree of success is directly related to individual effort and
ability.
MEMBERS
ASSOCIATION WITH I-SMILE FOUNDATION.
The relationship between members and I-SMILE
FOUNDATION is established only by this Agreement. A MEMBER is not an agent,
employee or any other legal representative of I-SMILE FOUNDATION or its service
providers.
Members are solely responsible for payment of taxes
and any federal, state, local or other taxes that may be due as a result of
their I-SMILE FOUNDATION activities. Members agree to abide by any federal,
state, and local government laws, rules and regulations pertaining to the
operation of their business.
TRADEMARKS
AND MARKETING MATERIALS
MEMBERS will
not use the I-SMILE FOUNDATION trade names and/or trademarks except to promote I-SMILE
FOUNDATION. In all such authorized use, Members will ensure that they represent
themselves as an independent representative and that all marketing efforts are
the responsibility of the members and not the organization.
Any sales and marketing materials supplied by I-SMILE
FOUNDATION may NOT be sold to other parties at a profit and that any purchase
of these materials from I-SMILE FOUNDATION does not qualify partners for any
reward.
MARKETING
MATERIALS CREATED BY MEMBERS
Members may
create their own marketing materials. Any marketing materials that use the name
I-SMILE FOUNDATION or any of its logos, trademarks or trade names MUST be
approved by I-SMILE FOUNDATION before they can be used.
I-SMILE FOUNDATION has no liability or responsibility
for any content, including the quality, accuracy, completeness, legality, or
usefulness of any information, product, service or process promoted on members
web site or other marketing materials.
I-SMILE FOUNDATION WEBSITE
On occasion, I-SMILE FOUNDATION website will undergo
routine maintenance. I-SMILE FOUNDATION will make every effort to do
maintenance as quickly and conveniently as possible, and to respond to
technical problems promptly. I-SMILE FOUNDATION may be required to access a
member's web site from time to time to provide maintenance. I-SMILE FOUNDATION will
not in any circumstance be responsible for problems, losses, or damages arising
from loss of connectivity; errors in content due to application problems; loss
of access by Members; or temporary or permanent loss of data.
INCOME
All members must understand that rewards in the
Compensation Plan can only materialize only when partners sign up new partners
and each partner is actively engaged in marketing of our services.
Any reward or income a member earns or receives
through the business plan is a direct result of the marketing efforts of the
members and other members in their sales team. Members must meet the required
qualifications as set out by I-SMILE FOUNDATION to receive rewards or get paid
from the Compensation plan.
Rewards will be based on the participation of members
on the I-SMILE BUSINESS INSTITUTE (eLearning). Because we are serious with
helping member grow their business or start up their business, we insist on
full compliance on the eLearning courses with passes. At least one course before the Bronze award, 3 courses before the
Silver award and Five Courses on different fields before the Gold Award
(Brainstorming compulsory and excluded from the 5 courses), Ten Courses before
the Platinum Award, 15 Courses before the Sapphire award, All Courses must be
completed with pass level before the Diamond award.
Withdrawals will only be paid/honoured between 25th
and 30th of every month. Any withdrawal Initiated before the period
as stipulated above must wait till the said period. Payments are made into the
member’s account as provided by the member in her back office. For Bank
Accounts, the account name must be the same as the name of the registered
member. You are paid with the currency you registered with.
POLICY
CHANGES
Members agree that I-SMILE FOUNDATION may from time to
time make changes to it's benefits and opportunities, services, sign-up fees,
marketing plan and incentives. Members will be made aware of changes via email
or sms to the email address or mobile phone listed in their account details as
well as posting updates in the UPDATE section of the I-SMILE FOUNDATION`
website or partners Dashboard. It is the responsibility of each member to
ensure the email address listed in their account is valid and that they check
regularly their Dashboard for the latest updates.
CONFIDENTIALITY
Members understand
that the I-SMILE FOUNDATION marketing plan, details of their progress in the
rewards program, details of their I-SMILE FOUNDATION sales team, and official
company literature are proprietary information and considered trade secrets of I-SMILE
FOUNDATION.
Members hereby agree not to directly or indirectly
disclose or use any of said confidential or proprietary information except to
specifically promote I-SMILE FOUNDATION opportunity in accordance with the
provisions of this Agreement.
INHERITABILITY
I-SMILE FOUNDATION membership account, like any other
account, is fully transferable in accordance with the terms of a Will, or, in
the absence of a Will, it passes to the heirs pursuant to the applicable
interstate succession laws.
All members are expected to input the names of an
inheritor when signing up who takes over the benefits in the event of the death
of a partner.
LIMITATION
OF LIABILITY
I-SMILE FOUNDATION agrees that the company will always
fulfill its own part of this agreement by encouraging all its members to work
hard by bringing in new members. The company will not be liable for her members
not making as much as it shows in the compensation plan. The figure is
attainable so long as each member meets up all the conditionality.
IMPOSITION
OF PENALTY
If a member breaches any of the provisions of this Agreement
.The member shall be given notice of the alleged Violation by e-mail, fax or
other rapid method of communication and shall have fourteen (14) days
thereafter to respond in writing to any alleged Violation (s), failing which,
the Organization can consider the allegations to be true. (It is Member's
responsibility to see that Organization receives the response, with supporting
documentation, if any, within the fourteen-day period.)
The Organization shall have the option of imposing any
one or more of the following penalties for Violations:
Blocking of the Member's I-SMILE FOUNDATION Account;
Imposition of a fine in an amount to be determined by
the Organization; or Termination of the Members Account and all benefits forfeited.
ENTIRE
AGREEMENT
This Agreement constitutes the entire agreement
between the parties on the subject matter hereof, and no other additional
promises, representations, guarantees or agreements of any kind shall be valid
concerning such subject matter unless in writing and signed by an authorized
officer of iSMILE FOUNDATION.
RESPONSIBILITY
I-SMILE FOUNDATION is not responsible for the acts of
its members under any circumstances for their wrongful and illegal activities.
APPLICANT
ACKNOWLEDGEMENT
A Member acknowledges that he/she has read,
understands and agrees to the terms set forth in this Agreement. A partner
understands that this Agreement is not in force until accepted.

AGGREEMENT
AGREEMENT
ACCEPTANCE OF TERMS THROUGH USE
By using this site or by clicking “I agree” to this
Agreement, you “USER” signify your agreement to these terms and conditions. If
you do not agree to this Agreement please do not use this site and do not click
“I agree”. Please check this Agreement periodically for changes as the owner of
this site “I-SMILE FOUNDATION” reserves the right to revise this Agreement and
your continued use of this site following the posting of any changes to the
Agreement constitutes acceptance of such changes. I-SMILE FOUNDATION reserves
the right to terminate a USER’S use of this site at any time without notice and
may do so for any breach of this Agreement or the instructions on this site by
USER.
YOU MUST BE
OVER 18 YEARS TO AGREE TO THIS AGREEMENT AND
USE THIS SITE
This Agreement must be completed, understood and
agreed to by a person over 18 years. If a parent or guardian wishes to permit a
person fewer than 18, and under his or her supervision, to use this site, he or
she should email I-SMILE FOUNDATION with his or her explicit permission and
acceptance of full legal responsibility for the minor to do so. If you are not
yet 18 years or are accessing this site from any country where material on site
is prohibited or illegal, please leave now as you do not have permission to
access the site.
LICENSE TO
USE THIS SITE
“AGREEMENT”
Upon your agreement to this AGREEMENT, I-SMILE
FOUNDATION hereby grants you a non-exclusive, non-transferable limited license
to use this site in strict accordance with the terms and conditions in this
Agreement and as permitted via instructions on this site. You agree not to make
any false or fraudulent statements in your use of or to gain access to this
site.
You acknowledge and agree that all content and
services available on this site are property of I-SMILE FOUNDATION and its
licensors and are protected by copyrights, moral rights, trademarks, service
marks, patents, trade secrets and other proprietary rights and laws,
internationally. All rights not expressly granted herein are fully reserved by
I-SMILE FOUNDATION and its licensors. You agree to pay any and all purchases
and services made using your name and credit/debit cards through this site, not
to challenge any such charges and to pay for all collections and or/attorneys
fees resulting from any non-payment.
LICENSE TO
USE THIS SITE
“USE”
Except as may be explicitly permitted through this
site, you agree not to save, download, cut and past, sell, license, rent,
lease, modify, distribute, copy, reproduce, transmit, publicly display,
publicly perform, publish, adapt, edit or create derivative works from
materials, code or content on or from this site. Systematic retrieval of data
or other content from this site to create or compile, directly or indirectly, a
collection, compilation, database or Directory without written permission from
I-SMILE FOUNDATION is prohibited. In addition, use of the content or materials
for any purpose not expressly permitted in this Agreement is prohibited.
ANTI-SPAM
POLICY
COMPANY HAS
A ZERO TOLERANCE ANTI-SPAM POLICY.
THIS MEANS THAT ANY PARTNER THAT SPAM'S IN ANY WAY
SHALL BE IMMEDIATELY TERMINATED WITH ALL
RIGHTS FORFEITED. Any Partner found spamming will have his or her relationship
to I-SMILE FOUNDATION terminated, when Company receives complaints from any
part of the Internet community and verifies same. A Member cannot violate any
applicable local, state, federal or international law. Illegal spamming
activity includes posting identical or substantially similar articles to an
excessive (more than 3) number of newsgroups or continued posting of articles
which are of topic for a newsgroup; Sending unsolicited mass (to more than 10
users) emailing which provoke complaints from the recipients or where the
recipients have not agreed, prior to such mailing to accept such emails.
Unsolicited commercial advertisements will be treated as illegal Spam.
